01Introduction

Welcome to ZynEstate, an online property and professional services listing platform operated by ZYNTECH GLOBAL INNOVATIONS LTD.

These Terms of Service govern your access to and use of our website, applications, features, and related services.

By accessing our platform, creating an account, publishing a listing, or purchasing a subscription, you agree to these Terms of Service. If you do not agree, you should discontinue using the platform.

02Our Services

ZynProperties provides a digital platform through which property agents, landlords, property owners, professionals, and service providers can advertise properties and services and connect with prospective customers.

Our services may include:

• Property sales and rental listings.
• Landlord and property agent profiles.
• Professional service listings.
• Business and service provider visibility.
• Subscription plans for publishing listings.
• Tools that enable users to discover and contact other users.

The features available to each user depend on their account type and subscription plan.

03Our Role as a Listing Platform

ZynProperties acts as a technology and advertising platform. We provide a space where users can publish listings and connect with other users.

Unless expressly stated otherwise for a specific service, ZynEstate:

• Does not own the properties listed on the platform.
• Does not act as the seller, landlord, buyer, tenant, estate agent, or broker in transactions between users.
• Does not negotiate or conclude property sales, rental agreements, or professional service contracts on behalf of users.
• Does not collect or hold property purchase payments, rent, deposits, commissions, or professional service fees on behalf of users.
• Does not guarantee the accuracy, ownership, legal status, availability, or condition of every listed property or service.

Transactions and agreements are entered into directly between the relevant parties, independently of ZynEstate's subscription payment process.

04Eligibility and Account Registration

You must provide accurate and current information when registering an account.

You agree to:

• Provide truthful registration and contact details.
• Keep your account information up to date.
• Protect your login credentials.
• Notify us if you suspect unauthorized access to your account.
• Use the platform only for lawful purposes.

We may request additional information or supporting documentation where reasonably necessary to verify an account, review a listing, investigate suspected fraud, or comply with applicable requirements.

05Vendor Responsibilities

Users who publish properties or professional services are responsible for the content of their listings.

You must ensure that:

• You own the property or have appropriate authority to advertise it.
• Your listings accurately describe the property or service.
• Prices, availability, locations, photographs, and other material details are not misleading.
• You hold any professional qualifications or licences required for services you advertise.
• You have the right to publish all photographs, documents, and other materials you submit.
• You promptly update or remove listings that are no longer available or accurate.

ZynProperties may request evidence of ownership, authorization, qualifications, or other information where appropriate.

06Subscription Plans and Payments

Certain features require a paid subscription.

Subscription prices, durations, features, and applicable conditions will be presented before payment.

We use Paystack to process subscription payments for our platform's listing and visibility services.

By purchasing a subscription, you authorize payment of the displayed subscription fee through the available payment method.

A successful payment grants access to the relevant subscription features, subject to these Terms and any applicable plan conditions.

We do not use our subscription payment process to collect or distribute payments for property sales, rent, deposits, or professional services arranged directly between users.

07Subscription Duration and Cancellation

Your subscription remains active for the period associated with the plan purchased, subject to the applicable terms.

Where recurring billing or subscription cancellation is supported, the available renewal and cancellation terms will be communicated to you.

You are responsible for cancelling a recurring subscription before its applicable renewal deadline if you do not wish to continue.

Cancellation does not automatically entitle you to a refund for an already-paid subscription period, subject to our Refund Policy and applicable law.

08Refunds

Refund requests for subscription payments are handled in accordance with our Refund Policy.

Refunds may be considered for duplicate payments, verified billing errors, unsuccessful payments that were not reversed, or qualifying service failures.

Payments made directly between users for property purchases, rentals, deposits, or professional services are outside ZynProperties's subscription payment process. ZynProperties cannot issue refunds for funds it did not receive or hold.

09Prohibited Activities

You must not use ZynEstate to:

• Publish fraudulent, misleading, or unauthorized listings.
• Impersonate another person, business, agent, landlord, or professional.
• Advertise properties without appropriate authority.
• Publish forged documents or false professional credentials.
• Conduct scams, money laundering, or other unlawful activities.
• Harass, threaten, or deceive other users.
• Infringe intellectual property or privacy rights.
• Upload malicious software or attempt unauthorized access to our systems.
• Manipulate platform features or bypass subscription requirements.
• Collect or misuse other users' personal information.

10Listings, Verification, and User Due Diligence

We may review listings, investigate reports, request supporting documentation, or restrict content when necessary.

However, the presence of a listing on ZynEstate does not automatically mean that the property, owner, agent, professional, or service has been independently verified.

Any verification badge or status reflects only the checks actually completed by our platform.

Users should independently verify property ownership, title documents, authority to sell or rent, professional credentials, payment instructions, and contractual terms before entering into an agreement or transferring funds.

11Direct Transactions Between Users

Any property sale, rental arrangement, or professional service agreement made through contacts established on ZynProperties is between the relevant parties.

Users are responsible for negotiating their terms, conducting due diligence, preparing agreements, making payments directly to the appropriate parties, and complying with applicable laws.

ZynProperties is not responsible for funds transferred directly between users and does not act as an escrow service or guarantor of such transactions.

Nothing in these Terms excludes liability or obligations that cannot lawfully be excluded.

12Suspension and Termination

We may suspend, restrict, or terminate an account or remove a listing if:

• The user violates these Terms or our policies.
• A listing appears fraudulent, misleading, or unauthorized.
• We reasonably suspect unlawful activity or misuse.
• The user fails to comply with a reasonable verification request.
• We are required to act by applicable law or a competent authority.

Where appropriate, we may provide notice and an opportunity to address the issue. Immediate action may be necessary where fraud, security risks, or legal obligations are involved.

13Intellectual Property

The ZynProperties name, branding, website design, software, and platform materials are owned by or licensed to the relevant rights holder.

You retain ownership of content you lawfully submit, subject to any rights you grant us to operate the platform.

By submitting listing content, you grant ZynProperties a non-exclusive permission to host, display, reproduce, and distribute that content as reasonably necessary to operate, promote, and provide the listing services.

You must not use our intellectual property without appropriate authorization.

14Privacy and Data Protection

We collect and process personal information as described in our Privacy Policy.

By using the platform, you acknowledge that your information will be handled in accordance with that policy and applicable data protection laws.

15Service Availability

We aim to keep ZynProperties available and functioning properly. However, we do not guarantee uninterrupted or error-free access.

We may modify, maintain, suspend, or discontinue features where reasonably necessary for technical, security, business, or legal reasons.

16Limitation of Liability

To the extent permitted by applicable law, ZynProperties is not responsible for losses arising from inaccurate user listings, the conduct of other users, property transactions arranged directly between users, or agreements for professional services entered into independently of our platform.

We do not guarantee that using the platform will result in enquiries, sales, rentals, customers, or business opportunities.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

17Changes to These Terms

We may update these Terms from time to time. Updated versions will be published on our website with a revised effective date where appropriate.

Continued use of the platform after an update takes effect constitutes acceptance of the revised Terms to the extent permitted by applicable law.

18Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to applicable mandatory legal requirements.

Disputes relating to these Terms will be handled by the competent courts or other appropriate dispute resolution bodies with jurisdiction.
